Legal Requirements for a Limited Company in Ireland
After the incorporation of your company, the main legal requirements are as follows:
Form B1 : Annual Return
A company is obliged to deliver an annual return at least once in every year to the CRO. Failure to do so will result in substantial penalty fees and possible strike-off proceedings, as well as loss of the audit exemption for 2 years if applicable.
Annual return contains details of the company’s directors and secretary, its registered office, details of shareholders and share capital. The return is required to be made up to the company’s Annual Return Date (ARD) and filed with the CRO within 28 days of that date.
Company Law now requires every company to file its first annual return within six months of the date of incorporation. This is something that we can do on your behalf and also to ensure that it is not forgotten about.
Annual General Meeting
All companies must hold an Annual General Meeting (AGM) within 18 months of incorporation and after on an annual basis . The AGM and board meetings should take place in Ireland, as the management and control of the company should be in Ireland.
Audited Account
Every company whose turnover exceeds Euro 7.4 million must prepare and file audited accounts. Holding and Subsidiary Companies must also file audited accounts, as well as Guarantee Companies.
Corporation Tax Return
A Corporation Tax Return must be made every year. If the company is VAT Registered, VAT Returns must be made every two months
If the company does not have an EEA-Resident Director, The ‘Section 43 Revenue Bond’ must be put in place.
Change of Registered Office : Form B2
A company notifies its change of address by sending by sending a completed form B2 within 14 days of the change.
Change of directors and secretary or in their details : Form B10
Form B10 is filed by a company in order to notify the appointment of an officer post incorporation, the cessation of an officer appointment (resignation, removal, death, etc…) and notify the CRO of a change in particulars in relation to an officer e.g. a change of name or a new residential address. This form is required within 14 days of the change occurring. It is an offense not to notify the CRO.
